1. Introduction & Acceptance of Terms

These Terms & Conditions (the “Terms”), along with any referenced policies or contractual documents (collectively, the “Agreement”), govern:

• Your purchase of new or used shipping containers (the “Equipment”) from Goliat Containers (the “Company”).
• Your use of the Goliat Containers website (www.goliatcontainers.com) (the “Website”).

By placing an order, creating an account, or using the Website, you agree to be bound by these Terms. If you do not agree, you may not use the Website or purchase Equipment from Goliat Containers.

The Company reserves the right to modify these Terms at any time. Continued use of the Website or purchase of Equipment after changes constitutes acceptance of the updated Terms.

2. Order Process & Acceptance

2.1. Invitation to Treat

• The Equipment listed on the Website does not constitute a binding offer but an invitation to place an order.
• Your order submission is considered a binding offer to purchase.
• Goliat Containers reserves the right to accept or reject any order without explanation, including for:
  • Stock unavailability
  • Suspicious activity or fraud
  • Inability to verify payment

2.2. Order Confirmation

• An order is only confirmed upon receipt of a written Order Confirmation from Goliat Containers.
• The Company may require financial guarantees (e.g., bank letter of credit, deposit) for large or high-risk orders.

2.3. Order Modifications & Cancellations

You may modify or cancel your order up to 48 hours before the scheduled delivery date, subject to the following fees:

Failure to pick up or accept delivery within 30 days will result in storage fees of $ 100/week.

3. Delivery & Pickup

3.1. Delivery Terms

• Standard delivery: “Ex-works” (pickup at our depot or delivered at your expense).
• Shipping costs: Quoted separately and payable in advance.
• Delivery timeline: Not guaranteed (subject to carrier availability, weather, and logistics).
• Site requirements: You must ensure safe, accessible, and prepared delivery location. Additional fees apply for:
  • Unsafe or unprepared sites (e.g., soft ground, no crane access).
  • Last-minute rescheduling (within 24 hours of delivery).

3.2. Pickup at Depot

• If you choose self-pickup, you must collect the Equipment within 14 days of notification.
• Late pickup fees: ** $ 10/day** after the 14-day period.

4. Payment & Fees

4.1. Payment Methods

Goliat Containers accepts:

• Credit/Debit Card (Visa, Mastercard, Amex) → 2.5% processing fee
• Bank Transfer → No fee (processing time: 2-3 business days)
• PayPal → 3.5% processing fee

Late payments will incur:

• Interest at the lesser of 8% per annum or the maximum legal rate.
• Suspension of delivery.
• Collection costs (including attorney fees).

4.2. Taxes & Duties

• Prices are exclusive of taxes (sales tax, VAT, customs duties, etc.).
• You are solely responsible for all applicable taxes and fees in your jurisdiction.

5. Container Neutralization

Used containers may bear previous owner markings (logos, CSC plates, etc.). You are responsible for:

• Removing all markings before transport or reuse.
• Neutralizing the container (painting, logo removal, etc.).

Optional Service: Goliat Containers offers neutralization services for an additional fee (quote available upon request).

Failure to neutralize may result in transportation refusal by carriers. Goliat Containers is not liable for such refusals.

6. Warranties & Returns

6.1. Limited Warranty

Goliat Containers provides the following limited warranties based on container condition:

Exclusions:

• Normal wear and tear (surface rust, minor dents).
• Damage from improper use, modifications, or accidents.
• Aesthetic issues (paint chipping, scratches).

6.2. Extended Warranty (Optional)

You may purchase an extended warranty at the following rates:

• +1 year: ** $ 100**
• +5 years: ** $ 250**
• +10 years: ** $ 500**

6.3. 30-Day Return Policy

Goliat Containers accepts returns within 30 days of purchase, subject to:

• The container must be unmodified and in original condition.
• Return shipping costs are your responsibility.
• Cancellation fees apply:
  • ** $ 100** for standard containers.
  • 50% of container value for specialty containers.

Example Refund Calculation:

• Container price: $2,500 (including $500 delivery).
• Return shipping: $500.
• Cancellation fee: $ 100.
• Total refund: ** $ 1,400**.

7. Liability & Indemnification

7.1. Customer Responsibilities

You agree to:

• Provide accurate delivery and contact information.
• Ensure safe handling and use of the Equipment.
• Indemnify Goliat Containers against any claims arising from your misuse of the Equipment.

7.2. Limitation of Liability

Goliat Containers is not liable for:

• Delivery delays (due to weather, carrier issues, or force majeure).
• Transportation refusals (e.g., due to unneutralized containers).
• Damage from improper use (overloading, hazardous storage, etc.).

8. Intellectual Property

All content on the Website (text, images, logos, software) is the exclusive property of Goliat Containers and protected by copyright. Unauthorized use is prohibited.

9. Termination & Dispute Resolution

9.1. Termination

Goliat Containers may terminate this Agreement at any time for:

• Non-payment.
• Fraud or misrepresentation.
• Violation of these Terms.

9.2. Dispute Resolution

Disputes will be resolved in the following order:

1. Direct negotiation (contact support@goliatcontainers.com).
2. Mediation (via a neutral third party, costs shared).
3. Binding arbitration (in New York, NY, under JAMS rules).

Governing Law: These Terms are governed by the laws of the State of New York.

10. Miscellaneous

• Force Majeure: Goliat Containers is not liable for delays or failures caused by unforeseeable events (natural disasters, strikes, etc.).
• Privacy Policy: Your data is protected under our Privacy Policy.
• Amendments: Goliat Containers may update these Terms at any time. Continued use of the Website constitutes acceptance.
